NOTE: Tiers are cumulative in terms of commissions paid and how they are calculated. All System sales count towards one common tier.  For example, if you sell & install 6 DIRECWAY, 5 DIRECWAY/DIRECTV Combo and 11 DIRECTV Systems, that would count as 22 Systems sales and each is paid at the 21+ commission rate.  Additionally 22 of your orders are paid at the 21+ rate. * All tiers reset on the 1st of each month.

 

Referral Rewards Affiliate Agreement

For the purposes of this Referral Rewards Affiliate ("Program") Agreement, INNOVATION USASatellite a division of Circuit City Stores, Inc. shall be known as "INNOVATION USA", the referring individual or company shall be known as "AFFILIATE" and collectively INNOVATION USA and Affiliate will be known as the "Parties" and a DIRECTV System or DIRECWAY System will be known as "Product".

1) Term of the Agreement & Payment: The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the term.

2) Responsibilities of INNOVATION USA: INNOVATION USA will fulfill all confirmed product orders placed in conjunction with the program in accordance with their company-wide fulfillment procedures.  INNOVATION USA will advise the customer of the anticipated shipment date and/or provide an alternative. Shipment confirmations will be communicated to the customer if an email address is provided at the time of order or by telephone if the customer calls in for such information.

3) Responsibilities of AFFILIATE: AFFILIATE shall promote the Program to customers to arrange for the sale of product through marketing programs designed and developed in accordance with INNOVATION USA's marketing acceptable marketing practices as outlined on www.innovationusa.com. AFFILIATE will be responsible for any and all advertising placement costs. All marketing efforts shall be limited to residences within the continental United States.

Marketing Practices:

Email Marketing
If you intend on using Spam to market our offer, INNOVATION USA is not the program for you as we pursue all offending parties vigorously.  We encourage you to use your creativity, within the applicable laws, in marketing our products and services.  Acceptable methods include banner ads, search engine marketing, newsletters and confirmed opt-in email marketing.  Absolutely NO SPAM will be tolerated and any violators of this NO-SPAM policy will be terminated and will NOT receive payment.  Bulk Mailers and Newsletter Mailers must submit a copy of the message to be used to affiliates@innovationusa.com prior to distribution for approval before using.  Any affiliate that uses Spam, authorizes INNOVATION USA to publicly publish their full contact information in public forums including but not limited to NANAE (n.a.n-a.e., news.admin.net-abuse.email; a USENET newsgroup which discusses e-mail spamming).  Additionally, offending AFFILIATES will be charged a $500 clean-up fee. 

Outbound Telemarketing
Live outbound telemarketing or Outbound Voice Broadcasting (the use of dialers to broadcast recorded messages to residential and commercial homes, answering machines or voicemail systems) is not permitted.  Using live reps to make outbound phone calls or using dialers to broadcast voicemail or pre-recorded messages is not permitted to market INNOVATION USA products or services.  Violators will be immediately terminated and will forfeit any commissions earned.  Additionally, offending affiliates will be charged a $500 clean-up fee. 

Spyware & Other Parasitic Software
Any affiliate suspected of a relationship, formal or informal, with any provider of spyware or parasitic software (as judged by any interference with the operation by design of INNOVATION USAsatellite.com and/or its partner sites) is subject to punitive actions by INNOVATION USA, without notice, including but not limited to: suspension of affiliate account; termination of affiliate account; withholding of payments to affiliate; and public notification of affiliate's suspected malfeasance.  INNOVATION USA encourages affiliates to report suspicions of such relationships to INNOVATION USA; and, should substantial proof, as judged by INNOVATION USA, be provided, INNOVATION USA reserves the right to assign an amount equal to the unpaid monies earned by the offending affiliate (or a part thereof) to the reporting affiliate as a bounty.  If you use these methods as common practice, this program is not for you.

Representation as a Referral Partner
AFFILIATE is a referral partner of INNOVATION USA.  They cannot represent themselves as having any affiliate relationship with DIRECTV or DIRECWAY.  They can also never take orders for DIRECTV or DIRECWAY on behalf of potential customers.  All orders are to be received directly from consumers by INNOVATION USA.  AFFILIATE may not take or solicit orders.  AFFILIATE must identify the marketed services as those of INNOVATION USA, an authorized DIRECTV Dealer.

Violation of these policies may be reported to abuse@innovationusa.com.

4) Consideration and Payments: In consideration for sales/orders generated through the Program, INNOVATION USA will pay you the referral fees posted at the time of your enrollment.  These referral fees are subject to change without notice.  Payments to AFFILIATE shall be made by the end of the following month for all orders that have completed the activations process, attributed to AFFILIATE activities in the prior calendar month. In order for affiliates to receive payment, the referred party must place their order using one of the following methods:

To preserve the integrity of the Program, Promo Codes will NOT be changed after an order is placed.  Referrals will NOT be earned on orders placed for the personal use of the AFFILIATE.

5) Conditions: You agree that in order to receive payment, the customer (your referral) must be a new, residential FIRST TIME SUBSCRIBER to DIRECTV, DIRECWAY or SIRIUS Satellite Radio and that they must install and activate their System within 30 days of receiving it. Any relationship or encouragement of such products such as modified access cards, test cards, reprogrammed cards, etc. for the purpose of acquiring service illegally and free of charge is cause for termination from the Program and severe criminal prosecution by DIRECTV and INNOVATION USA.  All customers referred must live in the lower 48 states of the United States of America.  While you may represent yourself as an Authorized Dealer of INNOVATION USASatellite, you agree never to represent yourself or your company as an authorized representative of DIRECTV or DIRECWAY.  You agree that all banners, text links etc. will direct prospects to INNOVATION USA and never to a different website.

6) Representations and Warranties: The Parties represent and warrant that (i) they are individuals or companies in good standing (ii) this Agreement has been duly authorized, executed and delivered by the Parties; and (iii) this Agreement, when executed does not violate any existing agreements to which the Parties are otherwise bound.

7) Indemnification by AFFILIATE: AFFILIATE shall indemnify, defend and hold INNOVATION USA, DIRECTV, DIRECWAY and their subsidiaries, and affiliates harmless from and against any and all losses, claims, damages, liabilities, costs and expenses (including all reasonable attorney's fees) that they may suffer, incur or be subjected to by reason of any legal action, proceeding, arbitration or other claim by a third party, whether commenced or threatened, arising out of or as a result of AFFILIATE's breach or its obligations, representations or warranties hereunder.

8) Disclosure:  AFFILIATE agrees to allow INNOVATION USA to share with DIRECTV or DIRECWAY the contact information of the AFFILIATE. 

9) Binding Effect: The provisions of this Agreement shall be binding upon and accrue to the benefit of the Parties and their respective heirs, legal representatives, successors and assigns.

10) Severability: The invalidity or illegality of any portion of this Agreement shall not affect the validity or legality of any other provisions.

11) Modification: We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on this site. Modifications may include, for example, changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

12) Limitation of Liability: We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under to this Agreement.

13) Independent Investigation: YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

13) Miscellaneous: This Agreement will be governed by the laws of the United States and the State of Florida, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Miami, Dade County, Florida, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
